Terms and conditions for using InvoiceBoard.


Welcome to InvoiceBoard. These Terms of Service ("Terms") govern your access to and use of our AI-powered invoicing and billing platform ("Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Service.

1. The Service

InvoiceBoard provides a cloud-based platform for freelancers and businesses to create, manage, and send professional invoices and quotes. The Service includes AI-powered assistance for invoice creation, client management, and billing workflows.

2. AI Disclaimer

InvoiceBoard includes an AI Assistant powered by large language models. By using AI features, you acknowledge and agree to the following:

  • AI outputs are suggestions, not professional advice. All invoices, line items, client details, payment terms, and other content generated or suggested by the AI must be reviewed and verified by you before use. Never send an AI-generated invoice without checking it first.
  • No financial, legal, or tax advice. Nothing generated by the AI constitutes financial, legal, tax, or accounting advice. Consult a qualified professional for such matters.
  • You are responsible for accuracy. You are solely responsible for the accuracy, completeness, and legality of the invoices and documents you issue. Errors introduced by the AI are your responsibility to identify and correct.
  • Sensitive data. Do not input confidential credentials, full payment card numbers, government identification numbers, or other highly sensitive personal information into the AI chat.
  • AI limitations. AI systems can and do make mistakes. InvoiceBoard makes no warranty that AI-generated content is accurate, complete, or fit for any particular purpose.

3. Accounts & Eligibility

  • You must be at least 18 years old to use the Service.
  • You agree to provide accurate, current, and complete information when creating your account and to keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@invoiceboard.com if you suspect unauthorised access to your account.
  • One account may represent one individual or organisation. Do not share account credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:

  • Issue fraudulent, misleading, or illegal invoices or documents.
  • Use the Service to store, process, or transmit data you do not have lawful authority to use.
  • Attempt to reverse-engineer, decompile, or gain unauthorised access to any part of the Service.
  • Upload malicious code, viruses, or any content that could harm the Service or its users.
  • Violate any third party's intellectual property, privacy, or other rights.
  • Use automated scripts or bots to scrape or interact with the Service in unauthorised ways.

We reserve the right to investigate suspected violations and take appropriate action, including account suspension.

5. Subscriptions & Payments

  • Access to certain features requires a paid subscription, billed via Stripe.
  • Subscriptions renew automatically on a monthly or annual basis, as selected at signup.
  • You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
  • We do not provide refunds for partial billing periods, unless required by applicable law (including EU/UK consumer protection rights where applicable).
  • We reserve the right to change subscription pricing. We will provide reasonable advance notice of price changes, and continued use after the effective date constitutes your acceptance.

6. Your Data & Intellectual Property

  • Your content is yours. You retain all ownership rights to invoices, client data, business information, and other content you create or upload ("Your Content").
  • Licence to us. By using the Service, you grant InvoiceBoard a limited, non-exclusive licence to store, process, and display Your Content solely to operate and provide the Service. We do not claim any other rights over Your Content.
  • Our intellectual property. The InvoiceBoard platform, software, design, brand, and documentation are our intellectual property and protected by copyright and other laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7. Data Protection & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you confirm that you have read and understood our Privacy Policy.

Your responsibility as a data controller: Where you process personal data of third parties (e.g., your clients' names and addresses) through the Service, you act as the data controller for that data and are independently responsible for ensuring you have a lawful basis to collect and process it under applicable data protection law (including GDPR where applicable). InvoiceBoard acts as a data processor on your behalf.

8. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, updates, or emergency work at any time. We will endeavour to give reasonable advance notice of planned downtime.

9. Warranties & Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose.
  • Uninterrupted, timely, secure, or error-free availability.
  • Accuracy or completeness of any AI-generated content or suggestions.

We do not warrant that invoices created using the Service will comply with the invoicing or tax laws of your jurisdiction. It is your responsibility to ensure compliance with all applicable local requirements.

10. Limitation of Liability

To the maximum extent permitted by applicable law, InvoiceBoard and its affiliates, directors, and employees shall not be liable for:

  • Any indirect, incidental, special, punitive, or consequential damages.
  • Loss of revenue, profits, data, goodwill, or business opportunities.
  • Any financial loss, audit penalty, or legal dispute arising from the use of or reliance on AI-generated content.
  • Service interruptions or data loss due to technical failures, cyberattacks, or events outside our reasonable control.

Our total aggregate liability to you in connection with the Service shall not exceed the amount you paid to InvoiceBoard in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

11. Termination

  • By you: You may stop using the Service and close your account at any time from your account settings.
  • By us: We may suspend or terminate your access if you breach these Terms, engage in illegal activity, or fail to pay applicable fees. For serious breaches we may act without prior notice; for less serious matters we will give you reasonable opportunity to remedy the breach first.
  • On termination, your right to access the Service ends. Your data will be retained and then deleted in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law, or our practices. We will notify you of material changes by email or in-app notice at least 14 days before the new Terms take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from or related to these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved, disputes may be referred to the competent courts of the relevant jurisdiction.
